{"id":14753,"date":"2023-10-18T11:43:46","date_gmt":"2023-10-18T10:43:46","guid":{"rendered":"https:\/\/www.uhy-fay.com\/?p=14753"},"modified":"2023-10-18T11:43:46","modified_gmt":"2023-10-18T10:43:46","slug":"flash-total-spin-offs-family-groups","status":"publish","type":"post","link":"https:\/\/www.uhy-fay.com\/en\/blog\/flash-total-spin-offs-family-groups\/","title":{"rendered":"Flash on total spin-offs in family groups"},"content":{"rendered":"<p>The Supreme Court of Castilla y Le\u00f3n has recently issued a Resolution confirming the direct application of the Merger Directive and accepting the application of the tax deferral regime to a total non-proportional spin-off of assets that do not qualify as a differentiated \u201cline of businesses\u201d at the spun-off company.<\/p>\n<p>This is a very relevant <a href=\"https:\/\/www.uhy-fay.com\/wp-content\/uploads\/2023\/10\/Sentencia-escision-no-proporcional.pdf\">Resolution as it allows reorganizing family groups<\/a> in a more optimal and simple way. This judgment confirms that the Spanish legislation is contrary to EU law, in line with the complaint filed against Spain by the Commission in 2018 and with the dissenting opinion issued by Excmo. Sr. Huelin in the judgment of the SC of July 20, 2014.<\/p>\n<p>The judgment is very complete, also echoing the relevance of the procedural aspects such as, the right to defense of the taxpayer in time and form, a fact that is sufficient in itself to annul the settlement issued by the Inspection.
